About this agreement
This User Agreement is a legally binding agreement between you and Calndr Inc. (also known as TEAMCAL AI, "TCAI") that governs your use of TCAI's online services. By using the TEAMCAL AI service, you agree to be bound by these terms.
TCAI may update these Terms at any time. New features — including AI features such as ADI and Zara — are subject to the latest Terms. Continued use after changes are posted constitutes acceptance. Last updated: April 2026.
Account requirements
- You must be 18 years or older to use the service
- You must provide your legal name, a valid email address, and other required information
- Login credentials may only be used by one person — sharing accounts is prohibited
- You are responsible for maintaining the security of your account and password
- You are responsible for all activity and content uploaded under your account
- You must not upload malware, harmful code, or unsolicited messages (spam)
- You may not use the service for illegal or unauthorized purposes
- You may not copy, resell, or exploit any part of the service without written permission from TCAI
ADI and Zara AI
The service includes two AI-powered scheduling assistants:
- ADI (Augmented Decision Intelligence) — an LLM-powered assistant that interprets scheduling instructions, evaluates availability, and executes scheduling tasks
- Zara — a ChatGPT-powered digital agent that assists with scheduling conversations, availability sharing, and meeting coordination
By using ADI or Zara, you acknowledge that:
- AI outputs may be inaccurate or may "hallucinate" details
- You must verify important scheduling decisions before acting on them
- Calndr Inc. is not liable for actions taken based solely on AI outputs
- AI services rely on third-party model providers and may be affected by their availability
- Customer data is never used to train external models; internal use is aggregated or de-identified unless contractually agreed otherwise
Your data & privacy
You own all data you upload or connect to the service ("Customer Data"). TCAI processes Customer Data only to operate and improve the service, including diagnostics and analytics.
TCAI does not:
- Sell Customer Data
- Train external AI models on your calendar data
- Access your calendar content without your authorization
- Store or log meeting content from external calendar APIs beyond what is needed for scheduling
By using the service, you automatically accept our Data Processing Agreement (DPA). A separate signature is not required for standard plans.
Uptime & SLA
TCAI targets 99.9% uptime, excluding scheduled maintenance, emergency maintenance, outages caused by third-party vendors, or events outside our reasonable control.
Service credits may be issued according to our Service Level Agreement (SLA). Enterprise customers can request the full SLA document via legal@teamcalendar.ai. Credits are your exclusive remedy for downtime.
Billing & refunds
The service is billed in advance and fees are non-refundable. Plan upgrades and downgrades follow your billing cycle. Taxes are your responsibility.
Pricing changes will be announced at least 30 days in advance via the website or in-app notices. Canceling or downgrading your account may result in data or feature loss.
To cancel your account, use the Plans & Billing section of the dashboard. Upon cancellation, all content is permanently deleted and cannot be recovered.
Limitations of liability
To the fullest extent permitted by law:
- TCAI shall not be liable for indirect, incidental, punitive, or consequential damages
- TCAI's total liability in any 12-month period shall not exceed the total fees paid by you in that same period
- TCAI is not responsible for data loss, service interruptions, or inaccuracies caused by third-party providers or AI models
The service is provided "as is" and "as available" without warranties of any kind. TCAI does not guarantee that AI-generated outputs from ADI or Zara will be accurate, complete, or reliable.
Confidentiality obligations
Each party agrees to protect the other party's confidential information and use it only as necessary to perform obligations under this Agreement. This obligation does not apply to information that is publicly available, independently developed, or legally required to be disclosed.
Governing law & disputes
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles. Disputes will be handled in U.S. courts, with Delaware Circuit Court as the court of first instance.
In any proceeding to enforce rights under this Agreement, the prevailing party is entitled to recover reasonable attorneys' fees and costs.

Miscellaneous
- If any provision of this Agreement is found invalid, the remaining provisions remain in full effect
- You may not assign or transfer your rights without TCAI's prior written consent
- This Agreement constitutes the entire understanding between you and TCAI and supersedes all prior agreements
- Nothing in this Agreement creates a partnership, joint venture, or employment relationship
- All notices must be delivered in writing — by email (upon confirmed receipt), overnight courier (next business day), or certified mail (upon receipt)
